Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of ReelStudio (the “Service”), operated by {{COMPANY_LEGAL_NAME}} (“we”, “us”, or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

ReelStudio is an AI-assisted production workflow for short-form video. It helps creators research topics, generate idea cards, draft scripts, generate AI clips, assemble videos with FFmpeg, run automated quality checks, and optionally publish approved videos to third-party platforms (such as TikTok, YouTube, Instagram, and X) on the user’s own behalf and only with explicit human approval and connected platform credentials.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is greater) to use the Service. By using the Service you represent that you meet this requirement and that you have the legal authority to enter into these Terms. The Service is not directed to children under 13, and we do not knowingly collect personal information from children under 13.

3. Accounts and Connected Platforms

Some features require you to connect a third-party account (for example, a TikTok account through TikTok Login Kit and the TikTok Content Posting API). When you connect such an account, you authorize us to access and use it strictly to provide the features you have enabled, in accordance with the third party’s terms and our Privacy Policy. You are responsible for keeping your credentials secure and for any activity that occurs under your account. You may revoke access at any time by disconnecting the platform in our Service or in the third-party platform’s own settings.

4. Acceptable Use

You agree that you will not use the Service to:

  • violate any applicable law, regulation, or third-party right (including intellectual property, privacy, publicity, or contractual rights);
  • generate, upload, or publish content that is illegal, defamatory, harassing, hateful, sexually explicit involving minors, violent, fraudulent, deceptive, or otherwise harmful;
  • impersonate any person or entity, or misrepresent your affiliation with a person or entity;
  • violate the terms, community guidelines, or developer policies of any connected platform, including without limitation the TikTok Terms of Service, the TikTok Community Guidelines, and the TikTok Developer Terms of Service;
  • attempt to scrape, reverse engineer, decompile, disassemble, or otherwise derive the source code of the Service, except to the extent expressly permitted by applicable law;
  • interfere with, disrupt, overload, or attempt to gain unauthorized access to the Service or any related systems or networks;
  • use the Service to train machine learning models on third-party user content or to generate content that infringes another person’s rights;
  • publish content publicly without an explicit human approval where such approval is required by the Service’s safety gates.

5. AI-Generated Content and Disclosure

The Service uses third-party AI models (for example, xAI Grok Imagine for video clips and large language models for text generation) to assist in producing content. You acknowledge that AI output may be inaccurate, biased, or non-original, and you are solely responsible for reviewing any AI-generated content before publishing it. You agree to comply with each connected platform’s rules regarding AI-generated content disclosure (including, where applicable, marking content as AI-generated when uploading to TikTok). The Service maintains provenance records to help you meet these obligations.

6. Intellectual Property

6.1 Your Content

You retain all rights, title, and interest in and to the topics, scripts, images, audio, video, and other materials you submit to the Service (“Your Content”). You grant us a limited, worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display Your Content solely as needed to operate, secure, and improve the Service for you, and to publish it to platforms you have explicitly connected and approved.

6.2 Our Service

The Service, including all software, designs, text, graphics, and trademarks (other than Your Content and third-party content), is owned by {{COMPANY_LEGAL_NAME}} or its licensors and is protected by intellectual property laws. We grant you a limited, revocable, non-transferable, non-sublicensable license to use the Service in accordance with these Terms.

6.3 Feedback

If you send us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or compensation.

7. Third-Party Services

The Service integrates with third-party services, including TikTok, YouTube, Instagram, X, xAI, Upload-Post, Ayrshare, and others. Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services and do not endorse them.

8. Fees

The Service may be offered free of charge or with paid features. If paid features are offered, applicable fees, billing terms, and refund policies will be presented to you at the point of purchase and become part of these Terms.

9. Suspension and Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms, created risk or legal exposure for us or others, or if we discontinue the Service. You may stop using the Service at any time. Sections that by their nature should survive termination (including IP, disclaimers, limitation of liability, indemnification, and governing law) will survive.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY CONTENT WILL BE SECURE OR NOT LOST OR ALTERED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL {{COMPANY_LEGAL_NAME}} OR ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE. OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD 100.

12. Indemnification

You agree to defend, indemnify, and hold harmless {{COMPANY_LEGAL_NAME}} and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) Your Content, (b) your use of the Service, (c) your violation of these Terms, or (d) your violation of any law or third-party right.

13. Governing Law and Dispute Resolution

We may update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms on this page and updating the “Last updated” date above, and where appropriate by reasonable additional means (such as email). Your continued use of the Service after the changes take effect constitutes your acceptance of the updated Terms.

15. Miscellaneous

These Terms constitute the entire agreement between you and us regarding the Service and supersede any prior agreements. If any provision is held unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision will not be a waiver. You may not assign these Terms without our prior written consent; we may assign these Terms freely.
